Cooling‑Off Period in Sydney: The Importance of a Cooling-Off Period and How It Works 

It is not uncommon for banks to require contracts be signed before they formally and unconditionally approve your loan. A loan pre‑approval is not a guarantee — it’s only an indication from the lender that you’re eligible to borrow a certain amount SUBJECT to the bank's assessment of the property and the contract. 

Signing a contract before your loan is formally and unconditionally approved can expose you to significant financial and legal risks. The main risks include:

Your loan may be declined If the bank rejects your application after contracts are exchanged, you are still legally bound to complete the purchase. Without finance, you may be unable to settle.

Valuation shortfalls If the bank’s valuation comes in lower than the purchase price, they may reduce the loan amount. You must then cover the shortfall in cash — sometimes tens of thousands of dollars.

You could lose your deposit Failing to settle entitles the Seller to terminate the contract and keep your 10% deposit and you risk being sued for the seller's legal fees, resale costs and their losses.

What Protection Do I Have?

Unlike other states where 'subject to finance' clauses are common in contracts, in New South Wales the 'cooling‑off period' is the legal protection that gives buyers time to reconsider their decision after signing a contract for a residential property. The cooling‑off period gives buyers breathing room in a competitive Sydney market allowing time for a buyer to obtain their unconditional loan approval without losing the property, while still offering an exit option if something unexpected arises.

How the Cooling‑Off Period Works

Length: The standard cooling‑off period is 5 business days from the date Contracts are signed and dated (exchange).

What it allows: During this time, the buyer can:

  • Conduct building, pest, and strata inspections

  • Seek legal advice and renegotiate terms

  • Finalise loan approvals

  • Or decide to withdraw from the purchase

If You Choose to Withdraw

If the buyer cancels the contract during the cooling‑off period, they forfeit to the seller the initial deposit being 0.25% of the purchase price. 

When a Cooling‑Off Period Does Not Apply

There is no cooling‑off period for:

  • Properties purchased at auction or Contracts exchanged on the same day as an auction

  • Commercial or industrial property

  • Property where the land area is more than 2.5 hectares
  • When a Section 66W Certificate is provided.
